NORD HAVEN EVENT HOST AGREEMENT, LIABILITY WAIVER & INDEMNIFICATION This Event Host Agreement, Liability Waiver & Indemnification Agreement ("Agreement") is entered into between **Nord Haven Sauna & Cold Plunge LLC ("Nord Haven")**, **Plunge Mile LLC ("Plunge Mile")**, and the Event Host ("Host"). By booking sauna and/or cold plunge services, the Host acknowledges and agrees to the following terms: 1. SERVICES Nord Haven shall provide sauna operations and event wellness services. Cold plunge equipment may be provided by Plunge Mile LLC. Nord Haven personnel shall operate, monitor, and manage the sauna and cold plunge experience during the event. The Host is responsible for providing accurate event details, including: * Event date and duration * Event location * Expected attendance * Site access requirements * Property owner authorization * Water source and drainage access, if applicable 2. PROPERTY OWNER AUTHORIZATION The Host represents and warrants that they have obtained all necessary approvals, permissions, permits, licenses, and authorizations from the property owner and any governing authority required for the event. The Host assumes full responsibility for any claims, damages, fines, violations, or disputes resulting from failure to obtain proper authorization. 3. SITE REQUIREMENTS The Host agrees that: * The sauna shall be positioned a minimum of ten (10) feet from any building, structure, vehicle, combustible material, or obstruction. * The setup area shall be reasonably level and accessible. * Emergency vehicle access shall not be obstructed. * Any water source and drainage provided shall be safe and compliant with local regulations. Nord Haven reserves the right to relocate, modify, or cancel setup if site conditions are deemed unsafe. 4. PARTICIPANT WAIVERS The Host agrees to require all participants, guests, attendees, contractors, vendors, sponsors, volunteers, and affiliates utilizing the sauna or cold plunge to complete and execute Nord Haven's participant waiver prior to participation. Any person who refuses to sign the required participant waiver may be denied access to the sauna and cold plunge facilities. 5. ASSUMPTION OF RISK The Host understands that sauna use, cold plunge use, and related wellness activities involve inherent risks including, but not limited to: * Heat exhaustion * Heat stroke * Burns * Dehydration * Dizziness * Loss of consciousness * Slips and falls * Cardiac events * Respiratory complications * Cold shock response * Hypothermia * Injury from entering or exiting equipment * Aggravation of existing medical conditions * Property damage * Death The Host voluntarily assumes all risks associated with the event and acknowledges that participation is voluntary. 6. RELEASE OF LIABILITY To the fullest extent permitted by law, the Host releases, waives, discharges, and covenants not to sue: * Nord Haven Sauna & Cold Plunge LLC * Plunge Mile LLC * Their owners * Officers * Employees * Contractors * Volunteers * Agents * Affiliates * Representatives From any and all claims, liabilities, damages, losses, injuries, expenses, or causes of action arising from or related to the event, including those resulting from ordinary negligence. 7. VENDORS, SPONSORS & THIRD PARTIES The Host acknowledges that the event may include third-party vendors, sponsors, exhibitors, instructors, wellness practitioners, fitness providers, food providers, entertainers, and other participants. The Host agrees that Nord Haven and Plunge Mile shall not be responsible for the acts, omissions, products, services, conduct, negligence, or injuries caused by any third party associated with the event. The Host assumes responsibility for coordinating and managing all third-party vendors and sponsors. 8. INDEMNIFICATION The Host agrees to defend, indemnify, and hold harmless: * Nord Haven Sauna & Cold Plunge LLC * Plunge Mile LLC * Their owners * Employees * Contractors * Agents * Affiliates From and against any and all claims, lawsuits, liabilities, damages, fines, penalties, costs, attorney fees, or expenses arising from: * Event operations * Event attendees * Vendors * Sponsors * Contractors * Property owners * Failure to obtain permits * Failure to obtain property authorization * Violations of local regulations * Injuries occurring at the event * Damage to property * Actions of guests or third parties This obligation survives the completion of the event. 9. WEATHER & FORCE MAJEURE Nord Haven reserves the right to suspend or terminate operations if weather conditions or site conditions create an unsafe environment, including but not limited to: * Severe storms * Lightning * Flooding * High winds * Fire hazards * Government restrictions No guarantee is made regarding uninterrupted operation under unsafe conditions. 10. INSURANCE The Host is encouraged to maintain general liability insurance appropriate for the event and acknowledges that Nord Haven's insurance does not extend to cover the Host, sponsors, vendors, or attendees beyond Nord Haven's own operations. 11. GOVERNING LAW This Agreement shall be governed by and interpreted under the laws of the Commonwealth of Virginia. 12. ENTIRE AGREEMENT This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions or representations. By booking services and submitting payment, the Host acknowledges that they have read, understood, and voluntarily agree to all terms contained herein.
